- INTRODUCTION & ACCEPTANCE OF TERMS
Welcome to Nubius Solutions LLC ("Nubius Solutions," "we," "us," or "our"). These Terms of Service ("Terms") govern the use of our Hosting Services (powered by Vultr) and Nubius Lifecycle Manager SaaS. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must immediately cease using our services.
These Terms constitute a legally binding agreement between you and Nubius Solutions. We reserve the right to modify these Terms at any time, and continued use of our services after updates indicates your acceptance of the revised Terms.
- DEFINITIONS
For the purposes of this agreement:
- "Services" refers collectively to the Hosting Services and Nubius Lifecycle Manager SaaS provided by Nubius Solutions.
- "Customer," "You," or "User" refers to any individual or entity that accesses or uses our Services.
- "Hosting Services" refers to virtualized cloud hosting solutions provided by Nubius Solutions, powered by Vultr.
- "Nubius Lifecycle Manager" refers to our Software-as-a-Service (SaaS) platform for Linux system lifecycle management, patching, and compliance.
- "Account" refers to an authenticated user profile with Nubius Solutions, required to access and use our Services.
- "Data Transfer" refers to the movement of data between a user’s instance and external networks, subject to bandwidth limitations and overage charges.
- "Self-Installed Applications" refers to third-party software installed by users, which they are solely responsible for maintaining and securing.
- SERVICES PROVIDED
3.1 Hosting Services (Powered by Vultr)
- Nubius Solutions provides dedicated and shared instances, including GPU services, through our hosting platform powered by Vultr.
- Customers are allocated resources (CPU, RAM, bandwidth, storage) according to their selected plan, and additional bandwidth usage will result in overage charges.
- Basic Support is included, ensuring proper provisioning and availability. Additional Managed Services are available, covering lifecycle management, automation, deployment assistance, and IT architecture consulting.
- Customers maintain full root/admin access to their servers and are solely responsible for server configurations, security, and maintenance unless they opt for Managed Services.
- Backups are not included by default. Customers may purchase Vultr-provided backups with a 2-day retention period, which allows only full restores (not individual file recoveries).
- Prohibited Uses: Customers are strictly prohibited from using Hosting Services for adult content, torrents, phishing, malware, cryptocurrency mining, or any other illegal or abusive activity. Violations will result in account suspension or termination.
3.2 Nubius Lifecycle Manager SaaS
- Nubius Lifecycle Manager provides automation and patch management for Linux environments.
- Basic support is included, with optional add-ons for compliance, automation, and professional services.
- Pricing is based on a per-server model with tiered discounts for multiple instances.
- All data in transit is encrypted using SSL/TLS, and Nubius Solutions does not store login credentials within the platform.
- Third-party integrations include Foreman, Katello, and private repository copies managed by Nubius Solutions.
- Compliance assistance is not included in the base package but is available as an add-on or as a professional service for regulatory audits.
- ACCOUNT ACCESS, OWNERSHIP, AND DISPUTES
- Customers are responsible for securing access to their accounts.
- Nubius Solutions reserves the right to restrict or suspend access to accounts in cases of abuse, fraud, or policy violations.
- In the event of a dispute over account ownership, Nubius Solutions will require official legal documentation to verify ownership before restoring access.
- DATA SECURITY, PERSONAL DATA USE, AND RETENTION
- Nubius Solutions adheres to GDPR standards and ensures that customer data is handled securely.
- Personal data is collected, stored, and processed solely for account management and billing purposes.
- Nubius Solutions retains customer personal data for seven (7) years after termination of any subscribed service to comply with legal obligations. However, customers may request to have all their data permanently removed by submitting a request to billing@support.nubius.io. This does not include any data we are obliged to keep for administrative, legal, or security purposes.
- COPYRIGHT AND TRADEMARK INFRINGEMENT
- Customers must ensure they do not store or distribute copyrighted material without proper authorization.
- Nubius Solutions reserves the right to remove content that violates copyright laws and may suspend or terminate accounts engaged in trademark infringement.
- SYSTEM MAINTENANCE
- Nubius Solutions performs routine maintenance to ensure system reliability.
- Scheduled maintenance will be communicated in advance, and emergency maintenance may be performed without prior notice in cases of critical security vulnerabilities.
- PAYMENTS, WARRANTIES, AND LIMITATIONS
- Payments: Services are prepaid, and failure to pay on time results in suspension after 7 days and eventual termination after 15 days.
- No Warranty: Nubius Solutions provides services on an "as is" basis with no warranties regarding uptime, performance, or security.
- Limitation of Liability: Nubius Solutions’ maximum liability is limited to one month’s paid service fees.
- REVERSE ENGINEERING
- Users are strictly prohibited from reverse engineering or attempting to modify or decompile any part of Nubius Solutions’ proprietary services.
- Violations will result in immediate account termination and potential legal action.
- NEWSLETTER & MARKETING CORRESPONDENCE
- When registering an account, customers agree to receive periodic newsletters and marketing correspondence, you may opt-out during checkout.
- Customers may also opt-out of marketing emails by following the unsubscribe instructions included in each communication.
- Important service-related notifications will still be sent, regardless of marketing preferences.
- GOVERNING LAW & DISPUTE RESOLUTION
- These Terms are governed by the laws of Florida, USA.
- Disputes must first be resolved through mediation before pursuing legal action.
- FORCE MAJEURE
- Nubius Solutions is not responsible for service failures due to force majeure events, including natural disasters, government actions, cyberattacks, or infrastructure failures.
- CHANGES TO TERMS
- Nubius Solutions may modify these Terms at any time.
- Updates will be communicated via email or our website.
